Visa Club

For the purposes of these Terms of Use, the following terms, whether singular or plural, shall have the following meanings:

Benefit(s): discounts, gifts or any advantage made available by the Visa Partner and/or Member to the Participants.

Visa Card: Debit, credit, prepaid card issued by a Visa Member issuer in the Caribbean and displaying Visa's registered trademarks.

Client: natural person, holder, as holder or dependent, of a Visa Card issued in the Caribbean.

Commercial Establishment: natural or legal person affiliated with acquirers authorized by Visa to accept Visa Cards.

Visa Member(s): issuer or acquirer that has a brand licensing and membership agreement with Visa in the Caribbean.

Partner(s): Commercial Establishment registered on the Platform, with the objective of offering Benefits and, eventually, Commercial Promotions to the Participants.

Participant(s): Client registered on the Platform.

Commercial Promotions: any type of promotion, offer, challenge, quiz, campaign, program, sweepstakes, gift certificate, contest, or interaction with the Participant, offered by Visa, a Visa Member, and/or a Partner on the Platform, in accordance with the rules applicable to the Platform, and which results in the offering, availability, or delivery of any Benefit to the Participant that may be covered in accordance with the rules established in the Specific Regulations of each Commercial Promotion. The possible requirement for authorization of each Commercial Promotion by a public body will be determined in accordance with current legislation.

Specific Regulations: terms and conditions of each Commercial Promotion or Benefit offered by Visa, a Visa Partner or Member as applicable.

The Platform is intended to be a digital environment in which Visa Commercial Promotions and Benefits, from Visa Members and/or Partners, will be available to the Participant in accordance with the Specific Regulations.

Only Customers are eligible for the Platform and, upon registration, they become Participants and can then enjoy the Benefits or participate in Commercial Promotions.

In addition to the information provided on the registration form, your Visa card number will also be considered when participating on the Platform.

Therefore, if there is a holder and a dependent of a Visa Card, in order for both to enjoy the Platform, both the holder and the dependent must register themselves, entering, if they wish to enjoy a more complete experience, their own Visa Card number.

Upon registration, the Customer must provide (i) their full name, (ii) type and number of identification document, and (iii) email address. To receive personalized notifications about Promotions and Commercial Benefits, the Customer may optionally register: (i) contact phone number and (ii) home and/or business address. To take advantage of certain Benefits and participate in Commercial Promotions available for their Visa Card, the Customer must register it on the Platform, providing their 16-digit Visa Card number. As a security measure, Visa and its Platform never request verification or registration of bank details, Visa Card passwords, or CVV (verification code, located on the back of Visa Cards). In some cases, other information may be requested on specific forms available on the Platform. Visa's use and processing of data will comply with the Privacy Notice. In order to provide a more relevant experience for the Participant, the personalized content of the Platform, as well as the Commercial Promotions and Benefits available to each Participant, may vary depending on the data provided by the Participant, their indicated preferences, and their interactions. with the Platform, including, without limitation, the type of card registered, observing the provisions of the Privacy Notice.

Participants will be able to access the Platform through any compatible internet-connected device with a browser, such as computers, smartphones, or tablets, in order to learn about and, eventually, register for Promotions

Salespeople, in addition to consulting other forms of Interaction between Visa, Partners, Visa Members and Participants.

The Client is solely and exclusively responsible for acquiring, installing, and maintaining all software and hardware and for connecting the data necessary to access the Platform. If the Client has any questions while using the Platform, we will do our best to assist them, but we will not be liable for any technical difficulties the Client encounters arising from the use of this software and hardware.

The Participant agrees to and is responsible for the truthfulness, currency, and accuracy of the information included and maintained in the registration. We cannot be held liable if the Participant suffers any loss or damage due to inaccurate information. Any changes to the information included in the registration must be reported to Visa by updating the registration, following the procedure outlined in these Terms of Use.

Visa may, but is not obligated to, at any time, at its sole discretion, request the correction or updating of the information submitted by the Client, especially in cases where it finds that the information provided by the Participant contains inconsistencies, irregularities, is incorrect, incomplete, or untrue, and may even request the submission of supporting documentation, as appropriate. If the Client fails to rectify the situation and/or submit the requested documentation, Visa may terminate the Client's participation on the Platform, without owing the Client anything.

By registering and using the Platform, the Client agrees to (i) use the Platform strictly in accordance with these Terms of Use, respecting applicable law and the rights of third parties; (ii) be fully and exclusively responsible for all actions taken by the Client on the Platform or for the purpose of accessing it; (iii) not violate any intellectual property rights of Visa, Visa Members, and/or Partners; (iv) not violate or infringe upon the rights of any person or cause harm to any person; (v) not interfere with the normal operation of the Platform; and (vi) not use robots, “spiders,” “crawlers,” “scrapers,” or other automated means or processes to access, collect, or otherwise manipulate the Platform. data or other type of content from the Platform or interact with it for any purpose.

The Customer must create a password, in accordance with the rules indicated on the password creation page, in order to access the Partner's exclusive content login and the password are personal, non-transferable and the information is confidential and, therefore, must not be disclosed to third parties. The responsibility for the use of the Platform's functionalities rests entirely with the registration holder.

If the Participant becomes aware of the threat or the fact that third parties have obtained their username and password, they must immediately contact Visa using the contact details provided in these Terms of Use.

The participant may request the cancellation or modification of their registration at any time. To do this, the participant must log in to Visa Club and access the “My Account” area, or contact the contacts indicated in these Terms of Use.

Visa may, at its sole discretion, suspend or cancel the Participant's registration at any time, by means of an email sent to the mailbox indicated by the Participant when registering, if it is suspected that the information used in the registration is not true, up-to-date or accurate or, even in cases where the existence is verified, even in the form of indications or suspicions, of acts contrary to the applicable legislation, these Terms of Use and/or any Specific Regulation, whether or not caused by the Client/ Participant.

Cancellation of registration will automatically result in: (i) the exclusion of the Participant from any ongoing Commercial Promotion; and/or (ii) the Participant may not participate in new Commercial Promotions or make use of any Benefit while their registration is cancelled.

The Platform will include Commercial Promotions and/or Benefits, as well as their Specific Regulations.

The Terms of Use apply to all Promotions and Commercial Benefits. The Specific Regulations for Commercial Promotions are supplementary to the Terms of Use and will prevail over the Terms of Use and other Commercial Promotions only when they expressly provide for the prevalence of a specific condition of each Commercial Promotion and/or Benefit to the detriment of these Terms of Use.

PARTICIPATION IN COMMERCIAL PROMOTIONS ORGANIZED BY VISA PARTNERS OR MEMBERS, AS WELL AS THE ENJOYMENT OF A BENEFIT PROVIDED BY THEM, RESULTS IN A LEGAL AND CONSUMER RELATIONSHIP BETWEEN THE PARTICIPANT AND THE VISA PARTNER OR MEMBER INDICATED IN THE COMMERCIAL PROMOTION OR IN ITS SPECIFIC REGULATIONS, AND NOT WITH VISA.

Therefore, the Platform only allows the dissemination of the Commercial Promotion or Benefit made available by the Partner. The Participant is free to accept the conditions established by the Partner or Visa Member, just as the Partner or Visa Member is free to establish all the terms and conditions of the Specific Regulations.

The Participant expressly acknowledges that the Visa Partner or Member, as applicable, is solely responsible for all information made available regarding the Benefits or Commercial Promotions on the Platform, including, but not limited to, questions related to the Benefit offered, the terms and conditions of the Commercial Promotions, the Promotion itself (such as requirements, duration, prizes, mechanics, etc.), and other conditions. negotiation and quality of services/products promoted by the Visa Partner or Member.

The Promotional Offer or Benefit may have characteristics that prevent or restrict its use by certain individuals. Therefore, the Participant is responsible for carefully reading the description, requirements, characteristics, and information of the Benefits or Promotional Offers before obtaining, using, and/or consuming them, as applicable. If you have any questions regarding the description, requirements, characteristics, and information, we suggest consulting the Visa Partner or Member offering the Benefit or Promotional Offer in question before obtaining, using, and/or consuming it, as applicable.

The Participant should understand that Visa provides the Platform, but is not responsible for the actual delivery of any item that the Visa Partner or Member has committed to deliver.

Unless otherwise specified, Participants may only download material available on the Platform for personal, non- commercial use, and are not permitted to distribute, modify, transmit, use, or reuse any content from the Platform for public or commercial purposes without written authorization from Visa or any other party Visa deems necessary. Participants must retain all copyright or proprietary notices on downloaded and/or copied material. Any copies of material from the Platform made or distributed by Participants, for any purpose, must also comply with the provisions of these Terms of Use. Participants may not access or use the Platform in any manner that could or is intended to damage or harm the Platform, Visa, its Partners or Visa Members, or any server or network underlying the Platform, or interfere with any other person's use or enjoyment of the Platform.

Unless otherwise stated, the Participant should assume that all content on the Platform is protected by copyright laws and may not be used in any way other than as set forth in these Terms of Use or without the express written authorization of Visa or any other party that Visa deems necessary. VISA DOES NOT WARRANT OR REPRESENT THAT THE PARTICIPANT WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES BY USING THE MATERIAL POSTED ON THE PLATFORM.

Images of people or places displayed on the Platform are owned by Visa or used by Visa with permission. The use of these images by the Participant or any third party is prohibited, unless expressly permitted by applicable law or the Platform. Any unauthorized use of these images may violate copyright laws, trademark laws, privacy and publicity laws, and other applicable regulations and statutes.

Any product, service, program, or technology described on the Platform may be protected by intellectual property rights (including, but not limited to, copyrights, trademarks, or patents) owned by Visa or third parties. Any such rights not expressly authorized herein are reserved by Visa or their respective owners, as applicable.

The Participant may use the information made available on the Platform and the Promotions and Commercial Benefits, only if such use (i) has a personal and non-commercial purpose, in the sense of merely promoting the Promotions and Commercial Benefits included on the Platform, (ii) does not infringe the intellectual property rights of Visa, its Partners, Visa Members and third parties and is not prohibited under this document, and (iii) is not harmful or potentially harmful to the image of Visa, its Partners, Visa Members and third parties.

Except in relation to this possibility of use, which is limited and revocable at any time by A simple request made by Visa, nothing contained in these Terms of Use should be considered or interpreted as an assignment, license or authorization to use intellectual property rights.

If a Participant finds any evidence of intellectual property rights infringement on the Platform, they should access Visa's Contact Us section, select the "Visa Club" option, and send a message containing evidence of the infringement. Based on the information submitted, Visa may remove the material from the Platform. Any removal of content from the Platform due to third-party complaints or news reports should not be considered an admission of infringement, but rather a demonstration of our intention to prevent and resolve situations that may be detrimental to Visa and/or its Clients.

If errors, inaccuracies, or omissions of information are discovered on the Platform, they will be corrected as soon as they are verified, and Visa may revoke any Commercial Promotion or Benefit that has been carried out under the influence of such errors, inaccuracies, or omissions.

By submitting content, including ideas, concepts, techniques, or know-how contained in any correspondence the Participant sends to the Platform (the "Participant Content"), regardless of its purpose, the Participant irrevocably and freely transfers and assigns to Visa any copyright, right of publicity or privacy, or any other intellectual or proprietary right the Participant may have in this material. Visa is free to use, reproduce, disclose, and/or modify any Participant Content, in whole or in part, in any manner it deems appropriate, including via the Internet, broadcast and cable television, alternative media, offline media, open or restricted access, in any advertising material, publicity, seminars, conferences, press releases, CD-ROMs, videos, or any other means of dissemination, throughout the national territory and abroad, and may fix and/or distribute it on any physical or electronic medium. magnetic, audiovisual, digital or by cable, fiber optic, satellite, wave or other, known or invented in the future, in Mexico or abroad, without any charge to Visa, at any time, even after the end of the use of the Platform by the Participant, in Mexico or abroad, in whole or in part, in any type of medium (online or digital), through any existing material support.

By using the Platform, the Participant may provide, or Visa may collect, a limited amount of information about the Participant and their use of the Platform. Subject to the terms of the Privacy Notice and applicable law, Visa is free to use this information for any purpose it deems appropriate.

 

The Participant may share, like and publish information contained on the Platform on their pages and profiles on certain social networks.

The Participant represents and warrants that their posts on the Platform and on social media related to the Platform are originally their own, that they do not violate any third-party rights, that they are not obscene, vulgar, offensive, malicious, discriminatory, defamatory, or otherwise illegal or contrary to public order and morality, that no third party has any right to them, and that the Participant grants Us the royalty-free, unrestricted, worldwide, perpetual, irrevocable, non- exclusive, fully transferable and sublicensable right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and broadcast such posts (in whole or in part) and/or incorporate them into other works in any form, media, or technology existing or hereafter developed.

Visa has not reviewed all sites linked to or from the Platform. The existence of such links does not constitute approval or endorsement by Visa of the material contained on the sites linked to the Platform, and the Participant should read and accept the Privacy Policy Notice of the respective link before proceeding.

Continued access to or use of any service on this website. In short, the content of third-party websites accessed by the Participant from the Platform is entirely outside our control, and Visa is not responsible for the content of any website linked to or from the Platform. If the Participant chooses to follow these links, they do so at their own risk. All copyrights and trademarks accessible through any link are the property and responsibility of the respective website owners or their licensors.

Information posted on the Platform by the general public, such as comments and suggestions, does not reflect and should not be interpreted as opinions or advice from Visa. We are not responsible for any information posted by third parties, nor are we liable in any way for any reliance placed by the Participant on the content of documents or information provided by third parties.

We reserve the right, without obligation, to monitor third-party posts on all our communication channels, including social media where Visa has its own profile, and to remove or change any content that, in our opinion, is considered inappropriate or offensive to third parties or to our image.

The Participant shall not in any way impair the proper functioning of the Platform, including, but not limited to, (i) the introduction of viruses, Trojans, worms or any other malicious or technologically harmful device, (ii) unauthorized access to the Platform or any server, computer or database related to the Platform, (iii) denial-of- service attack.

Visa will do everything possible to ensure that your online security is not breached. However, given the technological advancements in security breaches, we will not be liable for any loss or damage resulting from a breach of our online security by a third party.

While we have made every effort to ensure that only reliable content is available on the Platform, no warranty (express or implied) is offered as to its accuracy, completeness, or fairness, and therefore the Participant must, if necessary, obtain verification independent of any information contained therein.

As explained, except for the Commercial Benefits and Promotions offered directly by Visa, WE ARE ONLY A PLATFORM THAT CONNECTS THE PARTICIPANT WITH THE COMMERCIAL BENEFITS AND PROMOTIONS OF VISA'S PARTNERS OR MEMBERS. THEREFORE, UNDER THE CONSUMER STATUTE, AS WELL AS ANY OTHER APPLICABLE LAW, VISA IS NOT LIABLE FOR ANY POTENTIAL DAMAGES CAUSED BY THE VISA PARTNER OR MEMBER TO THE PARTICIPANT, INCLUDING BUT NOT LIMITED TO, DUE TO THE OFFER OF COMMERCIAL BENEFITS OR PROMOTIONS (SUCH AS REQUIREMENTS, DURATION, BENEFITS/COUNTERPARTIES, ETC.), TERMS, CONDITIONS OF NEGOTIATION, AND THE QUALITY OF THE PROMOTED SERVICES/PRODUCTS, AMONG OTHERS.

The Platform, Promotional Offers, and Benefits are provided "as is" and their use is at your own risk. To the fullest extent permitted by applicable law, the Participant disclaims all warranties of Visa, express or implied, including, but not limited to, non-infringement, quality of information, fitness for a particular purpose, availability, and access to the Platform

Therefore, we assume no responsibility, of any kind, with respect to any content contained on the Platform, or the Commercial Benefits or Promotions offered by the Visa Partner or Member, and we do not guarantee that the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform, the server on which it is available, or any system connected to it, is free of viruses or other harmful components. Accordingly, the Participant acknowledges that the Platform may contain technical problems or other limitations for which we assume no responsibility and cannot be liable for any damages that may arise from technical problems, limitations, errors, or viruses in connection with their access.

We, our directors, employees, agents and any representatives, hereby disclaim, to the fullest extent permitted by law, liability (i) for the quality, quantity, payment, delivery or any other financial or consumer obligation related to the products and services obtained from Commercial Promotions and provided by third parties; and (ii) for any loss, damage or injury (direct, indirect or consequential) suffered by the Participant or third parties as a result of the use of the Platform or other websites accessed from the Platform.

If the Participant's use of the Platform results in claims, liabilities, investigations, losses, and/or damages to Us or to third parties, the Participant shall compensate the injured party, including legal fees, resulting from the use of the Platform contrary to any provision of these Terms of Use and applicable law.

We may change these Terms of Use at any time by posting an updated version. In the event of significant changes, the Participant will be notified and will have the opportunity to accept or reject them. If the Participant does not accept the changes, they may request the cancellation of their registration on the Platform, and once canceled, they will no longer be able to enjoy its benefits.

These Terms of Use will supersede any prior or future communications or agreements, oral or written, between the Customer and Visa and relating to the Platform, unless expressly stated otherwise in the communication or agreement.

If any provision of these Terms of Use is deemed invalid, illegal, or unenforceable, it will be enforced to the fullest extent permitted by applicable law, and the validity, legality, and enforceability of the remaining provisions will not be affected or impeded.

By using the Platform, the Participant declares, warrants, and accepts that their access to and use of the Platform, their participation in Commercial Promotions, and enjoyment of Benefits, the acquisition of products and/or the contracting of services through the Platform does not violate any applicable law or regulation.

The Privacy Notice and Specific Regulations of each Commercial Promotion or Benefit, as well as each and every notice, regulation and instruction made known to you by any means, including the Platform, as they change from time to time.

If there is any discrepancy between the conditions contained in these Terms of Use and the other documents mentioned above, the provisions of these Terms of Use shall prevail, unless expressly stated otherwise in any of the documents.

The Specific Regulations applicable to each Commercial Promotion or Benefit will be available on the internal page of each offer within the Platform.

Any concession or tolerance for non-compliance with any obligation related to these Terms of Use will be considered a mere act of generosity, not constituting a novation, an invocable precedent, a tacit alteration of its terms, a waiver of rights or rights acquired by the user of the Platform.
